Counsel/Senior Counsel

This position is for an attorney to manage legal issues and coordinate compliance in unregulated business subsidiaries including support of acquisition and project development, day to day management of legal issues and contracting process -- could also include managing litigation matters. This role will assist the Southern Power Company legal department on how best to manage legal demands of the company as well as help the business leaders assess risk, then advise on mitigation strategies. Responsibilities:
Primary legal support for day to day Southern Power and PowerSecure legal issues Support business development team through all stages of strategic operations including acquisition, development and joint venture activities. Support contract formation and negotiation through all stages and contract types (e.g., purchase agreements, equipment sales, long term service agreements, capital lease structures, confidentiality agreements, and purchase orders) Support miscellaneous contract interpretation and implementation questions Review, draft, negotiate, and interpret power purchase agreements and similar energy sales contracts Assist with legal support for partnership and joint venture administration, governance, and other legal issues arising out of partnerships Support for compliance function Assist with identifying contract obligations, ensure proper implementation and interpretation of obligations are correct, retention and management of contracts as well Support internal board functions and organizational compliance efforts Candidates with the following preferred qualifications are encouraged to apply:
Education Juris Doctor (JD) Degree Required Current state license (in good standing) to practice law in Georgia or Alabama or North Carolina Experience Minimum 5 years legal experience with strong preference of experience in (i) mergers and acquisitions, (ii) project development, or (iii) in the energy industry Experienced with negotiating and drafting commercial contracts Preferred:
Experience with power purchase agreements Knowledge, Skills and Abilities Ability to review, draft, negotiate and advise on a broad range of commercial contracting matters Excellent written and verbal communication skills. Able to work effectively with all levels of organization Excellent organizational and time management skills Demonstrates initiative and can prioritize work Able to handle confidential and sensitive information appropriately Independent worker and problem solver
Salary Range:
$150K -- $200K
Minimum Qualification
Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.
